This course concentrates on key legal decisions and concepts which are of concern to contracting personnel and their counsels. Coverage involves a review of the jurisdictional environment and the basis upon which contracting officers and contractors defend their actions. The authority to contract, specific issues dealing with the funding of Federal contracts, the Anti-Deficiency Act, various performance issues, the legal basis of a claim, appeal rights, express and constructive changes, inspection and rejection, and terminations for default and convenience are some of the topics covered. 5 days. 40 CPE credits. Detailed Overview/Outline

This course concentrates on current and emerging legal issues that are critical to experienced contracting personnel (also appropriate for government program and financial personnel, as well as government contractors). Through the case study method using actual court decisions, students will gain valuable hands-on experience about how to analyze and resolve legal issues. (Note: If you are a federal contract specialist in the GS-1102 occupational series, you may be required to take Government Contract Law instead of this course.)

Suggested Prerequisite(s): Federal Contract Law and its prerequisites

Course Objectives:
After successful completion of this course, the student will be able to:

  • • Understand the dynamic nature of the legal environment of federal government contracting
  • • Gain experience in analyzing and resolving legal issues arising in federal contracting through in-depth case analysis

Major Topics:
Legal Environment for Federal Contracting

  • Sovereign immunity of the federal government. Jurisdiction. Standing to sue the federal government. Relief.

Authority and Related Issues

  • Actual authority. Standards for exercising authority. Conflicts of interest. Sanctions for abusing authority. Contractor fraud.

Protests

  • Who can file a protest? What are appropriate bases for protests? When must protests be filed? Where can protests be brought? What remedies are available?

Claims

  • The process. Forum. The claim. Equal Access to Justice Act.

Issues Relevant to the Postaward Administration of Contracts

  • Conflicts among clauses: Which clause benefits the government/contractor more? Cardinal changes. Overzealous inspections. Environmental issues.

ACE Recommendation: In the upper division baccalaureate degree category, 2 semester hours in Business Administration, Procurement, Purchasing, or Public Administration (from January 1988 to present).
